This page contains the currently valid General Terms and Conditions (GTC), the Privacy Policy, and the Terms of Use of HELP Media AG. The contractual terms and conditions for the online shop, auctions, the sale and rental of goods, the domiciliary services (including domiciliary addresses and c/o use), the consumer rating guidelines, and the terms and conditions of the WebCoins bonus system can also be found here.

All services and offers of HELP Media AG are subject exclusively to the terms and conditions published here in their current version. Customer terms and conditions are expressly excluded. Our website and the offers contained therein are generally aimed at internet users in Switzerland. The partial invalidity of individual provisions of these GTC does not affect the validity of the remaining provisions. The invalid provisions shall be replaced by a provision that is economically similar and legally permissible in terms of meaning and purpose.

Publication of a company profile, advertisements, press releases
The publication of a company profile in the yellow pages, on our website, and its other pages (hereinafter referred to as the "Website") forms the basis for further information publications. Registered companies and individuals, as well as purchasers of services and/or products, are hereinafter referred to as "Customers." The collected information is published in the HELP network. The customer consents to the use of their data. HELP Media AG holds the database and processing rights to the structured presentation of this information. Personal data (e.g., email addresses) will not be published. HELP Media AG informs its customers at irregular intervals about current information and/or savings opportunities.

1. Subject of the Contract
HELP Media AG sells services and/or products to the customer subject to the current terms and conditions of delivery and sale (GTC).

Deadlines provided by HELP Media AG are considered general targets unless they are expressly agreed upon as binding commitments.

HELP Media AG may engage suitable third parties to provide its services.

Subsequent changes to the scope of the service are subject to a reasonable adjustment of the agreed price.

2. Conclusion of Contract
The contract between the customer and HELP Media AG is only concluded upon an order from the customer and its acceptance by HELP Media AG. The customer's order is placed by telephone, in writing, in person, or via the Internet. HELP Media AG accepts the order by activating or confirming the desired service to the customer.

After the agreed term has expired, the contract will be automatically extended or renewed for the term agreed upon in the contract, unless terminated by either party.

Companies whose company profiles are published on a platform operated by HELP Media AG periodically receive publication information and statistical analyses of their listing. These information emails can be unsubscribed from at any time. Deletion of the company profile itself is generally not provided for, as the published information originates from public sources or is based on a legitimate interest in the information. HELP Media AG is not obligated to remove such company information from the industry directory as long as it is legally accessible or there is a legitimate interest in the information. Companies can request changes or corrections to the published data at any time. HELP Media AG will review such requests and make any necessary adjustments to the relevant company profiles. There is no right to immediate changes or publication.

Customers agree that HELP Media AG may use non-personal company information and/or logos as HELP reference information.

3. Product Offering
All information regarding the services provided to the customer during the ordering process is non-binding. In particular, changes in design and technology that improve the functionality of a service, as well as errors in descriptions, illustrations, and pricing, are reserved.

HELP Media AG reserves the right to replace its own web addresses (domain names) with others if they improve the value of the services in terms of timeliness and/or advertising effectiveness or better meet current market needs.

Customer advertising logos are generally static and do not contain any content that deviates from the norm.

HELP Media AG reserves the right not to publish, adapt, or delete entire company entries, individual data, text passages, photos, or logos without giving reasons.

4. Sale of Addresses by HELP Media AG
HELP Media AG is entitled to use and market customer data for its own purposes and within the framework of cooperations with partners within the framework of the statutory provisions.

The address buyer bears sole responsibility for ensuring that the content and distribution of its advertising do not violate legal regulations and common decency and do not infringe the rights of third parties.

The use of email addresses for marketing purposes with mass email distribution is only permitted if the recipient has given the sender their express consent. Such an opt-in does not exist unless otherwise agreed.

The address buyer must comply with the statutory provisions when using the provided address data. These include, in particular, the relevant provisions of copyright law, competition law, and data protection law.

The addresses and other data we provide are protected by copyright (data bank copyright protection). The corresponding ownership and copyrights remain with HELP Media AG. The address buyer uses the addresses exclusively for their own advertising activities based on a license limited in time, place, and content. The data may not be copied, reproduced, sold, rented, or otherwise made available to third parties.

The addresses must be deleted within 60 days of the end of the contractually agreed use (data usage for 12 months). Exceptions are data and addresses of persons who respond to contact from the address buyer and place orders. Such addresses may continue to be used for the purpose of the buyer's own business activities.

5. Warranty and Liability
If third parties assert claims against us due to the content and/or distribution of our advertising, the customer is obligated to fully indemnify us against any such claims upon first request. See also the 'Liability' section in the Terms of Use.

6. Payment Terms
All prices are guide prices that are continuously adjusted to the market. They are in Swiss francs (CHF), excluding VAT. Payment must generally be made within 20 days of invoicing, unless otherwise agreed. HELP Media AG reserves the right to only accept payments by credit card or advance payment.

7. Intellectual Property, Protection and Usage Rights
HELP Media AG reserves all rights to every design, every text, and every graphic on its website. The name HELP Media AG, all page headers, navigation bars, graphics, and button icons are registered trademarks, trademarks, or service marks of HELP Media AG.

All other trademarks, product names, or company names or logos cited on this website are the property of their respective owners. HELP Media AG reserves all ownership and copyright to images, drawings, calculations, and other documents. Before passing them on to third parties, the user requires the express written consent of HELP Media AG.

All property rights, such as intellectual property rights and license rights, to the documents, products, or other work results prepared by HELP Media AG in the course of executing the contractual relationship, as well as to the know-how developed or used in this process, belong exclusively to HELP Media AG, regardless of any collaboration between HELP Media AG and the customer.

7a. Legal Notices Regarding Register, Company, and Contact Information
HELP Media AG operates various information, industry, and data portals, including handelsregister.help.ch, tel.help.ch, firmenbuch.ch, unternehmensindex.ch, markenmeldungen.ch, firmenstatistik.ch (formerly eco.help.ch), as well as numerous specialist and topic portals with integrated industry directories in various economic sectors (e.g., automotive, gastronomy, tourism, hospitality, healthcare, insurance, finance, real estate, IT, media, education, and events).

The entries published on these websites are based on various sources, in particular:
– publicly accessible registers (e.g., commercial register, VAT ID, SHAB, IGE),
– editorially collected information (e.g., from official company websites), and
– data collected or updated directly by the companies themselves.

All published information is for informational and comparative purposes only. HELP Media AG assumes no liability for the accuracy, completeness, timeliness, or legal validity of the published content. The information may change or become out of date at any time, particularly if companies independently update their entries or if external sources change their data.

HELP Media AG assumes no obligation to automatically update or notify of data changes in external sources.

The following are exclusively binding and legally effective:
– the official entries of the relevant commercial registry offices,
– the official publications in the Swiss Official Gazette of Commerce (SHAB), and
– the entries with the Federal Institute of Intellectual Property (IGE).

HELP Media AG reserves the right to adapt, add to, or remove entries, logos, texts, or other content at any time. Liability arising from the use of published data is excluded.

HELP Media AG is authorized to collect, process, and publish data from publicly accessible sources, provided they are legally accessible.

The Federal Data Protection and Information Commissioner (FDPIC) expressly states that information from publicly accessible sources may be used for its original purpose. For business websites (e.g., company websites), this original purpose is the public provision of business-relevant contact details and information. HELP Media AG processes such data as part of its business activities for information, analysis, communication, marketing, and comparison purposes.

7b. Publication of Public Commercial Register and Trademark Data HELP Media AG processes and publishes publicly accessible data from official sources such as the Swiss Commercial Register, the Swiss Official Gazette of Commerce (SHAB), the UID Register, and the Swiss Federal Institute of Intellectual Property (IGE) on its platforms (in particular handelsregister.help.ch, firmenbuch.ch, unternehmensindex.ch, markenmeldungen.ch, and others).

This information is publicly accessible according to Art. 930 of the Swiss Code of Obligations (OR) and Art. 10 et seq. of the Swiss Federal Ordinance on Commercial Registers (HRegV) and is not subject to data protection regulations under the Data Protection Act (DSG), as it does not constitute personal data within the meaning of the Data Protection Act. HELP Media AG is authorized to collect, process, and publish this public data, as well as to permanently retain these publications. There is no right to deletion, correction, or suppression of such public register data as long as the underlying official sources maintain this information publicly.

All content is created with the greatest possible care; however, HELP Media AG assumes no liability for the accuracy, completeness, or timeliness of the information. The use of the published data is at your own risk. Only the certified extracts from the relevant commercial registry offices and the official publication texts in the Swiss Official Gazette of Commerce (SHAB) are binding.

7c. Legal Notice regarding Logoregister.ch
HELP Media AG operates a private register under the Logoregister.ch brand for the digital preservation of logos, signets, and figurative marks. Filing a trademark on Logoregister.ch does not constitute trademark registration within the meaning of the Swiss Trademark Protection Act (TMG) and does not grant any exclusive rights of protection or use.

The deposit serves solely for documentation purposes and can be used as evidence in the event of a dispute regarding the creation or deposit date of a logo, signet, or figurative mark. HELP Media AG assumes no liability for the legal enforceability or validity of such evidence.

The Logoregister.ch platform has no organizational or contractual affiliation with the Swiss Federal Institute of Intellectual Property (IGE). However, trademark information derived from publicly accessible sources of the IGE and marked accordingly may also be published on Logoregister.ch.

8. Information Exchange
The customer releases the lawyers employed by/commissioned by HELP Media AG from attorney-client privilege, i.e., from the attorney-client duty of confidentiality towards employees employed by HELP Media AG, so that internal communication within HELP Media AG remains unrestricted.

9. Data Protection

9a. Unauthorized Data Acquisition, Scraping, and Automated Use
The automated capture, copying, mirroring, or reuse of content, data, or structural information from the websites operated by HELP Media AG (including industry, register, address, and rating data) is expressly prohibited.

This applies in particular to scraping, harvesting, data mining, or similar automated processes.

Use of the content is only permitted within the scope of the intended online services of HELP Media AG or with prior written permission.

HELP Media AG reserves the right to technically block automated access, block IP addresses, and prosecute violations under civil and criminal law.

11. Contract Term for Advertising Booking
Termination is possible by either party at the end of the agreed and paid advertising period, with a notice period of 1 month. After the agreed period has expired, the contract will be automatically extended or renewed for the period agreed in the contract, unless terminated by either party.

Complaints must be submitted to HELP Media AG in writing within 14 days of the invoice date at the latest; otherwise, the invoice will be deemed approved by the customer.

HELP Media AG reserves the right to suspend services for unpaid services or in the event of a violation of the General Terms and Conditions at any time. Suspension of services will not affect the claim. If the services are suspended, the claim will still remain.

12. Place of Jurisdiction and Applicable Law
These Terms and Conditions and the contracts concluded based on them are subject to Swiss law. The place of jurisdiction is the court responsible for the registered office of HELP Media AG, unless another court has exclusive jurisdiction due to mandatory legal provisions. However, HELP Media AG is also authorized to assert its rights at the user's domicile or registered office or before any other competent authority.

13. Final Provisions
When selling services and/or products through HELP Media AG, the Terms and Conditions in the version valid at the time the respective contract is concluded apply exclusively. These Terms and Conditions also apply, in particular, if they differ from those of the customer. We reject the terms and conditions of customers.

Should individual provisions of these Terms and Conditions be or become invalid, this shall not affect the legal validity of the remaining provisions. The invalid provisions shall be replaced by a legally permissible provision that is economically equivalent in meaning and purpose.

Help Media AG reserves the right to amend these General Terms and Conditions at any time.

1. HELP Media AG uses so-called browser cookies (hereinafter "cookies") on all websites in the HELP network to simplify the use of this website and other websites and applications operated by HELP Media AG (hereinafter "website").

Sending information to registered companies: Companies listed in the HELP Media AG industry directory may periodically receive publication information, evaluations, or service information via email. 9. Newsletter
Upon request, we will keep you informed about relevant developments and offers from HELP Media AG. We use the so-called double opt-in process to subscribe to our newsletter: If you subscribe to our newsletter on the website, we will send you a notification email. You can confirm your subscription by activating a corresponding link. If you no longer wish to receive newsletters from HELP Media AG, you can unsubscribe at any time free of charge either in the newsletter itself or in your my.help.ch profile. This does not restrict the use of your my.help.ch profile.

11. my.help.ch Profile
Deleting your my.help.ch profile: You can delete your my.help.ch profile at any time and without giving reasons. Your profile can then no longer be used or reactivated.

If you delete your my.help.ch profile, HELP Media AG will permanently delete or anonymize the personal data contained in the profile. HELP Media AG's legal and operational retention obligations/reasons are reserved.

12. Data Disclosure to Authorities in Switzerland and Abroad Investigative Activities: HELP Media AG is obligated to disclose your personal data to Swiss and foreign law enforcement, administrative, or judicial authorities if they request disclosure to prevent or prosecute crimes, offenses, or similar administrative misconduct. Such disclosure will only occur on the basis of a legal or regulatory basis. Data will only be disclosed within the framework of applicable laws and only if there is a formally valid official order.

Page accesses may occur no more than once every few seconds. Unauthorized access is prohibited and will incur a fee. If normal operations are disrupted, resulting in measures such as blocking IP addresses, labor costs will be charged, and claims for damages are explicitly reserved.

The transfer of published information to other third-party online services or for resale to third parties is not permitted.

10. HELP Media AG reserves the right to deny individual IP addresses access to the website and to temporarily or permanently block them without stating reasons.

Online Shop

Conditions for the online shop, auctions, sale of goods and rental of goods

1. Conclusion of Contract
These extended terms and conditions apply to purchase contracts with private customers and companies concluded via the provider's website/online shop.

The order is confirmed by the provider. The contract is concluded as soon as the confirmation is received by the buyer.

The currently published general terms and conditions, terms of business, shop, and terms of use apply; these can be changed at any time and without prior notice.

When purchasing en.help.ch products (marked own products), the purchase contract is concluded directly between the retailer (as seller) and the customer (as buyer).

When purchasing third-party products from shop partners: en.help.ch undertakes the promotion or marketing of the corresponding products on behalf of the retailer and mediates the purchases. en.help.ch always acts only as an intermediary and service provider for the merchant, but does not itself become a contractual party to the customer.

If, after the order confirmation, it is determined that a product is not available, that more than typical household quantities were ordered, or a (partial) service cannot be provided, the seller or en.help.ch may cancel the corresponding order in whole or in part or withdraw from the contract. In this case, the customer has no right to delivery of the ordered goods or provision of the corresponding service.

2. Prices and Offers
Prices are quoted in CHF. VAT and advance recycling fees are included or indicated accordingly. Shipping costs are charged separately.

The offers in the online shop are generally aimed at customers over 18 years of age who are legally competent, as well as companies with residence or registered office in Switzerland or Liechtenstein. Customers under 18 years of age or persons who are not fully legally competent confirm to en.help.ch and the respective seller with each order that they have the consent of their legal representative for the corresponding purchase.

The provider reserves the right to change prices at any time. The prices published on the website on the date of the order or the confirmed prices according to the written offer apply to customers.

3. Delivery Conditions
3.1 Marked Own Products
The delivery and shipping methods specified in the online shop apply; otherwise, the products will be shipped within 5 working days. If a longer shipping period is necessary, the customer will be informed at the latest after this time has elapsed. If no information is provided, the customer is entitled to forgo delivery.

The online shop or the seller has no influence on the delivery times of the transport companies.

3.2 Sellers are entitled to make partial deliveries.
The online shop may commission different transport companies for deliveries and partial deliveries. Deliveries are generally only made to the curb. The delivery of small appliances to the customer's front door or mailbox is at the discretion of the transport company.

3.3 The delivery period stated in the offer or order confirmation is only a guideline and is not binding. The online shop or the seller has no influence on the delivery times of the transport companies.

The online shop states delivery periods only as guidelines. These are not binding. If a delivery deadline cannot be met, the customer may withdraw from the order after expiry of a grace period of at least 30 days, which must be notified in writing. The customer may not assert any further claims.

3.4 The online shop may cancel confirmed orders due to external, uncontrollable circumstances or other circumstances without incurring any costs.

4. Transport Risk, Transport Damage, and Transport Guarantee
4.1. Orders placed through the online shop are shipped at the customer's risk and are not insured by the online shop or the seller.

4.2. The customer undertakes to immediately inspect the delivered goods for accuracy, completeness, and integrity. Damage to the delivered goods must be reported to the transport company as soon as possible, but no later than 5 calendar days after delivery.

4.3. In the event of complaints, all parts of the original packaging must be retained. These may only be disposed of with the written consent of the transport company or the seller.

4.4. The customer can take out a transport guarantee for transport damage and transport losses with an external insurance company, independent of the online shop.

5. Right of Withdrawal and Cancellation
5.1 Marked Own Products
Customers may withdraw from the purchase contract within 7 days without giving any reason. The period for exercising this right begins on the day the goods arrive at the consumer. The customer may return goods already delivered at their own expense. Any payments already made will be refunded by the provider. Except for third-party costs incurred (bank, post office, etc.).

Refunds will only be made after the goods have been received in unopened, original packaging, and unused condition.

If a customer withdraws from the purchase due to late delivery or defects in the goods for which the provider is responsible, the provider will refund any amounts already paid, as well as the return shipping costs.

Delivered goods remain the property of the provider until full payment has been made.

5.2 Products from Shop Partners

6. Liability and Warranty
The provider guarantees for a period of 24 months that the goods have the promised properties, have no defects that impair their value or suitability for the intended use, and comply with the prescribed performance and specifications.

The buyer must inspect the delivered goods as quickly as possible, but no later than within 5 calendar days, and report any defects immediately. Hidden defects can still be reported even after the goods have been put into operation or used. Payment does not constitute a waiver of the right to complain about defects.

If a defect exists, it is at the discretion of the provider to decide how the defect will be remedied. This will be done either through free repair, a deduction from the price corresponding to the reduced value, or a replacement delivery (can also be an equivalent product).

7. Payment
Payment is possible at the buyer's request using the following methods:

Payment by electronic payment methods, such as credit card, Twint, PostFinance Card, or PostFinance e-finance: Upon payment of the order, the purchase price is due immediately, and the account will be debited upon completion of the order.

Payment by invoice and advance payment: Upon ordering, the purchase price is due, and the goods will be delivered to the buyer upon receipt of payment.

Payment via PayPal payment service: PayPal's general terms and conditions apply: http://www.paypal.ch. By confirming an order, the buyer expressly agrees to PayPal's terms and conditions.

For refunds of paid PayPal payments, the online shop conditions and our terms and conditions must be met.

Payment using other payment methods, such as Bitcoin: The purchase price is due upon ordering. Payment instructions will be sent to the buyer. The goods will be delivered to the buyer after receipt of payment. The online shop or seller can set a maximum purchase price for Bitcoin payments.

The goods only become the property of the buyer after full payment has been received.

8. Product Rental
Products rented by HELP Media AG to customers remain the property of HELP Media AG at all times. The contracting parties are called the lender, as the owner of the item being rented, and the borrower. Through the rental agreement, HELP Media AG (the lender) remains the owner and becomes the indirect owner, while the borrower becomes the direct owner of the item.

After the expiration of the fixed-term rental period or after termination by the lender, the borrower must return the borrowed item (the same item) to the lender. During the rental period, the borrower may only use the item in accordance with the contract and the law. The borrower is not authorized to pass the item on to third parties.

The Swiss Gambling Act (BGS) and the associated regulations must always be observed for gaming products. HELP Media AG excludes all liability for violations of these rules. ```

In the event of damage caused by non-contractual use, excessive wear and tear, or late return of items, the borrower is responsible for the corresponding costs.

Any maintenance costs incurred for the item are borne by the borrower.

Free cancellation is possible up to one month before the rental date or the event. For cancellations made less than four weeks before the event, a fee of 10% of the booking amount will be charged. For cancellations made less than two weeks in advance, the fee is 20% of the booking amount. For cancellations made less than five days before the event, a fee of 50% of the booking amount will be charged.

The lender may cancel the booking at any time. In the event of cancellation by the rental company for unexpected reasons (e.g., illness, COVID, etc.), the money will be fully refunded to the customer in the event of a complete event cancellation, or with a proportional reduction in the event of a partial cancellation. Compensation for any event cancellations cannot be reimbursed to the customer.

"Disclaimer: Croupier Deployment Subject to Change":

Casinoshop.ch / Casinorent.ch has a large number of croupiers that we deploy at gaming events. At events with multiple croupiers, it has happened that a croupier became ill on the day of the event and no replacement croupier could step in within hours. After that, the remaining croupiers assigned to the event divided the workload.

We cannot offer an unconditional guarantee for the availability of all croupiers. However, should a croupier be unavailable, we will endeavor to arrange a replacement immediately. In the event of a croupier's absence, we will of course not charge or refund the amount for the affected croupier's labor and will conduct the event with the other croupiers.

9. Auctions
9.1 HELP Media AG offers a marketplace through its auction services. Offers must not violate legal provisions or these Terms and Conditions. HELP Media AG will not become a contractual partner in contracts concluded exclusively between the users of this marketplace.

9.2 Use of the auction services as a buyer and seller requires registration as a user. The data required for registration must be provided completely and correctly. HELP Media AG reserves the right to block or delete offers and registrations without stating reasons.

9.3 In auctions, the buyer accepts the offer according to the descriptions on the website by submitting a bid. Acceptance is subject to the condition precedent that the buyer is the highest bidder after the auction period has expired. A bid expires immediately if another buyer submits a higher bid during the auction period.

9.4 For fixed-price offers or offers with an immediate price, the buyer accepts the offer by clicking the "Buy Now" button (or similar term) and then confirming.

9.5 If an offer is deleted by HELP Media AG before the end of the auction period, no valid contract is concluded between the buyer and seller.

9.6 HELP Media AG is not liable.

9.7 The seller must be able to transfer the offered goods to the buyer immediately after the contract has been concluded.

9.8 The buyer is obligated to pay in advance unless otherwise agreed in advance.

10. Note on Silbervreneli Products
The Silbervreneli products advertised on HELP Media AG's websites are manufactured, distributed, and sold by Triple A GmbH, Zurich. HELP Media AG supports the marketing of these products through editorial and promotional publications (e.g., on swiss-press.com, help.ch, or affiliated portals), but is not a contractual party to the purchase.

The Silbervreneli is not legal tender and is not an official mint of the Swiss Federal Mint Swissmint. It is a private medal made of fine silver, the value of which is determined by its material and collector value. There is no claim to acceptance as payment, market value, or exchange for money.

For clarification: A business relationship exists between HELP Media AG and Triple A GmbH, particularly in the areas of marketing and communications. However, there is no cooperation, no license, and no legal or economic relationship with the Federal Mint Swissmint.

Note: These terms and conditions apply in addition to and supplement the individually concluded domicile agreement between HELP Media AG and the respective domicile holder. They are an integral part of the contractual relationship, provided the domicile service is provided by HELP Media AG. In the event of any conflict between the domicile agreement and these General Terms and Conditions, the terms and conditions listed here shall prevail.

1. Contractual Basis and Services
HELP Media AG's domicile service includes the provision of a business address for use as a c/o address or registered domicile address in accordance with Art. 933a of the Swiss Code of Obligations (OR). Additional services such as mail reception, meeting room use, or additional services can be agreed upon separately and purchased according to the price list.

2. Contract Term and Extension
The contract is concluded for the agreed minimum term and is automatically extended for the same term unless terminated in writing within the agreed period. HELP Media AG reserves the right to refuse an extension without stating reasons.

3. Address Use and Company Registration
The address may only be used for company law purposes. Entry in the commercial register is only permitted with the written consent of HELP Media AG. Disclosure of the address (e.g., as a sub-address or c/o third parties) is strictly prohibited.

4. Right of Withdrawal in the Event of Suspected Misuse
If there are indications of defamatory, dubious, or illegal use of the domicile address, HELP Media AG reserves the right to refuse consent to entry in the commercial register or to revoke a previously issued confirmation of domicile. In such a case, the contractual relationship may be terminated with immediate effect. There is no entitlement to a refund of payments already made, not even a partial refund.

5. No Commercial Use / No Permanent Establishment
The domicile address is used exclusively for company law purposes. Use as an actual business operation, operational location, or permanent establishment is excluded. There is no entitlement to commercial licenses or official approvals based on this agreement.

6. Penalty for Serious Misuse
In the event of serious misuse – in particular, deception of authorities or third parties, fraudulent conduct, or unauthorized disclosure of the domiciliary address – the domiciliary owner agrees to pay a penalty of CHF 5,000. The right to assert further claims for damages remains expressly reserved.

7. No Obligation to Monitor or Forward Mail
HELP Media AG assumes no responsibility for the regular checking, receipt, or forwarding of mail. It is the responsibility of the domiciliary owner to check their incoming mail or to forward it using appropriate measures. Liability for damages resulting from uncollected mail, missed deadlines, official measures, or debt collection proceedings is excluded – even if the address is entered in the commercial register.

8. Compliance with Laws and Official Requirements
The domiciliary address holder undertakes to comply with all legal requirements. The address may not be used for illegal activities, bogus companies, sham companies, circumvention of regulations, or fraudulent activities. If there are indications of criminal offenses or official requirements, HELP Media AG is entitled to terminate the contractual relationship without notice.

9. Meeting Room Use (Optional)
Use of the meeting room is optional and must be agreed upon separately. The current rental conditions and usage rules according to the price list apply. There is no automatic entitlement to availability.

10. Disclaimer of Liability and Customer Responsibility
HELP Media AG is not liable for damages or losses resulting from the use of the domiciliary address. The customer is solely responsible for its business activities and their legal and financial consequences. HELP Media AG acts neither as a representative nor as an organ or agent of the customer.

11. Data Protection
Personal data is processed in accordance with applicable data protection regulations. Data is collected, stored, and processed only to the extent necessary and to fulfill legal requirements or to fulfill the contract.

12. Signage at the Location
A nameplate is not provided for the exterior of the building. A nameplate on the mailbox will be affixed exclusively by HELP Media AG, provided the company is duly registered in the commercial register at its domicile address. The design and affixation will be carried out in accordance with the domiciliary provider's specifications. Optionally, a separate company sign can be affixed to the entrance door of the HELP Media AG office on the 3rd floor – for a fee and only with the express consent of the domiciliary provider.

13. Termination of the Domicile Relationship and Removal of the Address
Upon termination of the domicile agreement – ??for whatever reason – the domicile holder is obligated to remove all references to the business address Thurgauerstrasse 40, 8050 Zurich from its website, social media profiles, online directories, letterheads, invoices, email signatures, and all other means of communication within 30 calendar days.

According to Art. 17 Para. 2 lit. c HRegV, HELP Media AG may report the termination of the domicile relationship to the responsible commercial registry office as soon as the termination of the agreement has been legally established or the domicile holder no longer fulfills its obligations under this agreement (e.g., non-payment, misuse, failure to change address).

The domiciliary owner is obligated to register a new legal domicile within 30 days or to have the company deleted and to update all online presences (e.g., website, Google listing, industry portals, social media pages) accordingly. If the commercial register entry or online presence is not updated on time, responsibility lies solely with the domiciliary owner. HELP Media AG assumes no responsibility for entries that continue to be published or are outdated, as long as no official change has been made.

As long as the removal obligation is not fully fulfilled, the contractual domiciliary fees are still due, and the deposit amount will not be refunded. HELP Media AG is entitled to make the deposit repayment no earlier than 30 days after the end of the contract and only after all obligations have been fully fulfilled. The contractual relationship is only deemed to have been terminated upon written confirmation of termination by HELP Media AG. The deposit may be retained as long as outstanding claims remain or the address has not been verifiably removed from all public sources or changed in the commercial register.

In the event of a breach of these obligations, the continued use of the address shall automatically be deemed a tacit extension of the contract under the previous terms and conditions.

In addition, HELP Media AG is entitled to
– issue the domiciliary holder with a written warning,
– charge a flat-rate administrative fee of CHF 250 per case for research, correspondence, and administrative expenses,
– and notify the competent commercial registry office of the termination of the domiciliary relationship.

A power of attorney from the domiciliary holder is required to accept registered or official mail; without this authorization, acceptance may be refused.

The right to assert further damages or consequential costs remains expressly reserved.

14. HELP Media AG's Right of Termination
HELP Media AG is entitled to terminate the domicile agreement at any time, subject to a written notice period of 30 calendar days. Termination may occur for organizational, business, or other objective reasons.

In the event of suspected misuse, dubious, or illegal use of the domicile address (e.g., violation of legal regulations, defamatory behavior, non-payment, unauthorized disclosure, or incomplete information provided to authorities), termination without notice is permitted.

Fees already paid will be refunded pro rata in the event of ordinary termination. No refund will be made in the event of extraordinary termination due to breach of contract, misuse, or late payment.

15. Place of Jurisdiction and Applicable Law
These General Terms and Conditions and the contracts based thereon are subject to Swiss law. The place of jurisdiction is the court competent for the location of HELP Media AG's registered office, unless another court has exclusive jurisdiction due to mandatory legal provisions. However, HELP Media AG is also authorized to assert its rights at the user's domicile or registered office or before any other competent authority.
